These Terms of Use (“Terms”) govern your use of the Fresh Admit website (“Site”) at https://freshadmit.com, any mobile device application, or any other means provided or authorized by Meiguo Education Group, LLC, doing business as Fresh Admit (“Fresh Admit,” “we,” “us,” or “our”). Please read these Terms carefully before using or continuing to use the Site. By using or continuing to use the Site, you represent and warrant that you understand, agree to, and accept all terms and conditions contained in these Terms. If you do not agree to these Terms, do not use the Site.
General Terms
Fresh Admit provides this Site to Users seeking college advising and counseling services (“Students”) and to Users seeking to provide such services (“Counselors/Advisors”). The term “you” or “User” refers to Students, Counselors/Advisors, or any person or entity who views, uses, accesses, or browses any content on, or creates, uploads, posts, sends, receives, or stores content to the Site. These Terms are entered into by and between Fresh Admit and you, and you accept them by:
(a) accessing or viewing the content of the Site;
(b) contracting for services through the Site;
(c) registering as a Counselor/Advisor or providing services through the Site;
(d) using the Site in any other manner; and/or
(e) acknowledging agreement with these Terms.
To the extent that anything in or associated with the Site conflicts with these Terms, the Terms shall control. If any provision of the Terms is held invalid by any law or regulation, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms will remain in full force and effect.

Services
The Site offers a marketplace for Students to connect with Counselors/Advisors for services such as essay editing, college application advising, and virtual counseling. Counselors/Advisors are independent professionals who set their own fees, create their own service packages, and control the methods, materials, and scheduling of their services.
Students are responsible for selecting the right Counselor/Advisor for their needs. Fresh Admit does not guarantee the quality, accuracy, or outcomes of the services provided by Counselors/Advisors.
Counselors/Advisors are responsible for their own actions, services, and compliance with all applicable laws and regulations. Fresh Admit is not liable for the actions or omissions of Counselors/Advisors.
Student Data
When Fresh Admit is used by educational institutions, such as schools or school districts (“Schools”), we may collect or have access to Student Data (defined below) provided by the School or the Student. We consider such Student Data to be strictly confidential and use it solely for the purpose of providing and improving our services.
Student Data includes personal information directly related to an identifiable student, such as educational records as defined by the Family Educational Rights and Privacy Act (“FERPA”).
Ownership and Control: The School or the Student, and not Fresh Admit, owns and controls the Student Data.
Use of Student Data: Fresh Admit may use Student Data to provide, improve, and develop our services, enforce these Terms, and as permitted by applicable laws.
De-Identified Data: Fresh Admit may use de-identified or anonymized Student Data for research, product development, and other purposes, provided it cannot reasonably identify a specific individual.
Data Security: Fresh Admit implements administrative, technical, and physical safeguards to protect Student Data from unauthorized access, disclosure, or use.
Data Breach Notification: In the event of a security breach involving Student Data, Fresh Admit will notify the affected School promptly and take reasonable steps to mitigate the breach.
Data Deletion: Schools or Students may request the deletion of Student Data at any time. Fresh Admit will comply with such requests within 30 days, except where prohibited by law.
User Responsibilities
All Users must:
(a) Be of legal age and have the capacity to agree to these Terms;
(b) Provide accurate, current, and complete information during registration;
(c) Maintain the security of their password and account;
(d) Accept all risks of unauthorized access to their account or information; and
(e) Use the Site in a lawful and appropriate manner.
Users may not:
Defame, harass, or violate the legal rights of others;
Post false, misleading, or unlawful content;
Use the Site for any fraudulent or unauthorized purpose;
Upload files that contain viruses or malicious software;
Misuse the Site or its content for commercial gain.
Fresh Admit reserves the right to suspend or terminate accounts that violate these Terms.
Limitation of Liability
Fresh Admit acts solely as a platform to connect Students and Counselors/Advisors. We are not liable for:
The quality or outcomes of services provided by Counselors/Advisors;
Any disputes or issues arising between Students and Counselors/Advisors;
Any damages or losses resulting from the use of the Site.
To the fullest extent permitted by law, Fresh Admit disclaims all liability for direct, indirect, incidental, or consequential damages arising from the use of the Site.
Intellectual Property
All content on the Site, including logos, text, and design, is the property of Fresh Admit and is protected by intellectual property laws. Users may not reproduce, distribute, or create derivative works without prior written consent.
Termination
Fresh Admit reserves the right to suspend or terminate your account at any time for any reason, including violations of these Terms. Upon termination, you must cease all use of the Site.
Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes will be resolved in the courts of Los Angeles County, California.
Arbitration
Any disputes arising from these Terms will be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of JAMS. By using the Site, you waive your right to a trial by jury or to participate in a class action.
Entire Agreement
These Terms constitute the entire agreement between you and Fresh Admit and supersede any prior agreements. If any provision is found invalid, the remaining provisions will remain in effect.
